Why is only one member listed on the SS4 form?

The person listed on SS4 will be the "IRS Responsible Party", responsible for signing the company's documents.

  • The SS4 form is used to apply for the EIN (Employer Identification Number), which is the company's tax identification number in the United States — similar to the CNPJ in Brazil.
  • Only one person is listed on this form: the Responsible Party. This individual is the one legally responsible for the company before the IRS. The IRS only allows one person to be designated as the Responsible Party, so if you would prefer someone else to be listed, just let our team know, and we can update it for you.
  • If there are any changes in the company’s structure or in the person who holds primary control, it is possible to update the Responsible Party with the IRS.
  • Member names will be listed on the State Documents (depending on the state) and in the Operating Agreement.
