What Is an Amendment?

An amendment is essentially a correction or modification to your company’s incorporation documents. Business owners file amendments when they need to update or change information originally submitted to the state.

Examples of amendments include:

• Changing the business name.

• Adding or removing members/shareholders.

• Updating the business address.

• Changing the registered agent.

• Modifying the entity classification with the IRS.
  
  

Adding or Removing Partners/Members in a Corporation (C Corp)

You can add or remove as many shareholders as you wish.

• If the shareholder will also be a manager: You must list them with the State and update the following documents:

  • Minutes of Organizational Meeting.

  • Stock Ledger.

  • Bylaws.

• If the shareholder is not a manager: You only need to update:

  • Minutes of Organizational Meeting.

  • Stock Ledger.

  • Bylaws.
    
    

Adding or Removing Partners/Members in an LLC

You can add or remove as many members as you wish in your LLC.

• If the member is also a manager: They must be listed in the State’s official documents.

• If the member is not a manager: You only need to update your Operating Agreement. If you include additional members in your Operating Agreement, please provide a copy so records can remain accurate.

Important: Changing from a single-member LLC to a multi-member LLC requires updating your IRS classification from Disregarded Entity to Partnership. The reverse applies if you reduce back to one member.

2. In the left-hand menu, click: 

   • My Services → Hire New Services → Update Company or Members Information

3. Fill out the form with the required details.
